                              Director shareholding
Galahad Gold plc (the "Company") announces that it was notified xon 24 January
2005 that:
* Mr James Slater, a director of the company, had transferred 2,043,800
  ordinary shares of 1p each in the Company to Artemis Management Services 
  Limited at a price of 11.75p per share.
* Mrs Helen Slater had trxansferred 675,000 ordinary shares of 1p each in
  the Company to Artemis Management Services Limited at a price of 11.75p per
  share.
* Artemis Management Services Limited had acquired 2,718,800 ordinary
  shares of 1p each in the Company at a xprice of 11.75p per share.
Each of the transactions was effected on 24 January 2005.
Artemis Management Services Limited is a company controlled by Mr and Mrs Slater
and wholly owned by Mr and Mrs Slater and members of their immediate family.x
Mr and Mrs Slater's interests in the share capital of the Company for the
purposes of Sections 198 - 208 and 324 - 328 Companies Act 1985 remain
unchanged. Mr Slater and his connected parties hold in aggregate 66,007,133
ordinary shares of 1p exach in the Company, representing approximately 10.4% of
the issued share capital of the Company.
As a result of the transactions, Artemis Management Services Limited is
interested in aggregate in 8,118,000 ordinary shares of 1p each in the Companxy
representing approximately 1.3% of the issued share capital of the Company."
